1. Studio Entity & Scope of Services
Contracts are executed with Xuwonix, headquartered at L.B Road, Near: Bharoti Press, Mahabhairab Rd., Tezpur, Assam 784001, India. Our professional offerings include custom web development, mobile application engineering, domain hosting, search engine optimization, and brand identity design across Assam and broader regions.
2. Project Scoping, Estimates & Revisions
- Architectural Scopes: Prior to development, a written scope of work or technical estimate outlining key deliverables, milestones, and tech stacks is provided.
- Out-of-Scope Alterations: Features or architectural changes requested outside the agreed specification document are billed separately or scheduled in subsequent project sprints.
- Revision Allowance: Standard UI/UX design deliverables include up to two rounds of structural design revisions before code assembly commences.
3. Complete Client Autonomy & Code Ownership
We operate under a strict anti-lock-in philosophy:
- Source Code Ownership: Upon final milestone payment receipt, full non-exclusive intellectual property and source code ownership of custom application logic are transferred directly to the client.
- Zero Rental Lock-In: Clients are not subject to recurring proprietary platform fees for custom codebases written specifically for their organization.
- Internal Frameworks: Open-source utilities, standard library code, and the proprietary foundational routines of Xuwonix Core Engine remain licensed for client execution without recurring royalty costs.
4. Payment Structures & Milestones
- Bespoke Development: Web and software projects generally follow a phased milestone model: an initial mobilization advance (typically 40–50%), an intermediate milestone upon staging review (25–30%), and the final balance prior to production domain cutover.
- Invoicing: Detailed GST tax invoices are generated upon payment confirmation.
- Retainer & Maintenance Billing: Technical retainer plans, cloud maintenance, and ad distribution budgets are invoiced in advance on a monthly or quarterly cycle.
5. Cloud Infrastructure, Domains & Third-Party Services
- Domain Registrations: Domain names registered through Xuwonix on behalf of the client remain the legal property of the client.
- Infrastructure Uptime: While cloud hosting architectures are provisioned on high-reliability servers, Xuwonix is not liable for service interruptions caused by upstream cloud providers, telecom fiber cuts, or international registry outages.
- Third-Party APIs: Fees and policy changes imposed by third-party services (e.g., WhatsApp Cloud API, payment gateways, Google Maps Platform) are the direct responsibility of the client account holder.
6. Client Responsibilities & Content Compliance
- Content Provision: Clients are responsible for supplying timely text, photography, product catalogs, and branding materials required to complete scheduled milestones.
- Legal Clearance: The client warrants that all text, trademarks, and media provided do not infringe upon any third-party copyrights or violate local, state, or national laws.
7. Limitation of Liability
In no event shall Xuwonix, its developers, or its representatives be liable for indirect, incidental, or consequential damages—including loss of commercial profits or business disruption—arising from the use or inability to use deployed software platforms. Total aggregate liability is limited strictly to the total fees paid by the client under the specific scope of work.
8. Governing Law & Regional Jurisdiction
These terms are governed by and construed in accordance with the laws of India. Any legal dispute or arbitration arising from contracts with Xuwonix shall fall under the exclusive jurisdiction of the competent courts in Tezpur, Sonitpur District, Assam.
